the GIS GRASS can convert several formats.
It is a quite large system though and not explicitly designed
to support quick conversion of formats.

There are reader/writer libraries available that could
be glued to create a converter: E00compr, AVECE00 and
shapelib. Thats if you feel able to do some
programming work.

You can find links on freegis.org.

However, please be aware that e00 and shp are not
1:1 transferable in any case (e00 can handle more
information than shp does).

Finally, there are perhaps some other software tools
doing the job you want to do that you can download
from the Internet. These are no Free Software tools.
